The firm has recently undertaken the following assignments:
Advised
a non-listed, closed-end investment fund on its merger with
an investment fund listed on the Athens Stock Exchange.
Both funds were regulated by the Greek Capital Markets Committee
and their merged portfolio would exceed the amount of €26m.
Has
acted for the take-over of the majority shareholding of
the biggest listed leisure group in Greece. The firm has
coordinated negotiations, prepared all required documentation
and acquisition arrangements and structured a number of
equity option agreements.
Advised
on the setting up and the related regulatory matters of
a non-listed investment fund with a seat in the Cayman islands
and investment interests in southeast Europe, and dealt
particularly with the regulatory implications of the fact
that the fund is domiciled in an offshore jurisdiction.
Acted
on the winding up and liquidation of a Greek investment
fund with a portfolio of about €7.5m.
Advised
on the setting up of a Greek venture capital fund in what
was one of the very few attempts to set up in Greece a venture
capital fund under the Greek venture capital legislation
which provides for a special, tax-driven vehicle fund for
venture capital investments in Greek companies.
Represented
borrower in the debt restructuring and refinancing of €2.9m
ship finance loan.
Acted
for a leading travel company on the acquisition of a 5-star
hotel situated in the Yailskari region on the Greek island
of Corfu and of 4-star hotel complex situated in the Aghia
Pelagia region, in Heraklion, Crete. The firm prepared transactional
documentation including a 15m debenture loan between the
investment vehicle and a Greek bank.
Has
been retained by a Greek renewable energy company to negotiate
and draft a multi-million venture capital agreement with
a mutual fund and a listed telecom company.
Has
been retained as the legal advisor of the Greek subsidiary
of an American energy undertaking for a multi-million private
placement.
Acted
for UK company and its Greek subsidiary in a €22m venture
capital deal with Barclays. Work included drafting and reviewing
the investment agreement, the loan deeds, the loan notes
and numerous ancillary agreements and documents.
Advised
the government of FYR Macedonia on the approximation of
the country’s legislation on PPP and PFI with the
EU acquis communautaire and international best practice.
The firm has particularly advised on the tendering process
to be adopted so as to encompass PPP and PFI schemes as
well as contractual schemes with private operators (mainly
BOT contracts and their variants such as BO, BOOT or DBFO).
Acted
on successive share capital increases and stock option schemes
that resulted in the acquisition of the controlling interest
of private club IPCA Cards S.A.
Defended
a €1m defrauding of creditors claim commenced by a
major Greek bank.
Acted
for the Soya Mills Group, a Greece-based leader in the southeast
European market of grains, oil seeds and oil seed products,
in relation to the acquisition of a local entity in Bulgaria
and the asset financing of warehouse facilities.
